Objectives:
By the end of the course, the participant will be able to:
- Develop a deeper comprehension regarding the SEC laws and regulations plus FINRA guidelines as they apply to Brokers and Dealers (B/Ds)
- Develop a deeper comprehension regarding product options B/Ds may offer
- Develop a deeper comprehension regarding the impact to business units (operations) in light of Compliance requirements
Assumptions:
- This is an advanced course where the course participants will have a foundational understanding regarding the financial industry as it applies to securities
- There is no pre course reading
Session 1: Industry Overview
The opening session reviews the role of the SEC, FINRA, Brokers, Dealers and registered associates in light of approved retail products. By the end of this session the course participants shall:
- Describe:
- How the Securities Exchange Act applies to their business model
- Which regulators oversee specific aspects of the participants business
- What product options the participants may offer based on their business model
Session 1A: Industry Overview -Application
Participants are grouped into “teams” to review and identify appropriate product offerings as well as suitable oversight for the products. Discussions shall be encouraged within the respective teams moving to interactive discussions among the teams regarding the introduced subject matter.
Session 2: The Reporting Process
Participants shall review the reporting requirements based on the applicable business models. By the end of this session the course participants shall:
- Describe
- The Annual Audit Report requirements
- The FOCUS report requirements
- The Anti-Money Laundering report requirements
Session 2A: The Reporting Process - Application
Teams shall review case studies to determine the relevant information and process in completing and submitting the noted reports. Case studies shall identify short comings to avoid as well as regulatory mishaps.
Session 3: FINRA Inspections
Participants shall review the “hot topics” the SEC and FINRA have identified regarding inspections. By the end of this session the course participants shall:
- Identify
- The Risk based approach
- Effective practices
- Appropriate communications with the public
Session 3A: FINRA Inspections - Applications
Teams shall identify and develop a check list for FINRA inspection preparation.
Session 4: Supervision
Participants shall review the day to day supervisory responsibilities based on applicable business models. By the end of this session the course participants shall:
- Define
- Who must be registered
- What is a suitable client account
- What is applicable under the books and records requirements
